OVERVIEW
This website is operated by Puritan Medical Products Company, I, LP (“Puritan,” “we,” “us,” or “our”). These Terms of Use and Sale (“Terms”) govern (1) your access to and use of our websites, content, and services, and (2) purchases of products offered directly by Puritan through our online store and related purchase pathways.
By accessing or using any part of the site and/or purchasing products from us, you agree to be bound by these Terms, and by any policies referenced in these Terms and/or available by hyperlink (including Privacy and Return/Refund policies).
SECTION 1 – ELIGIBILITY AND ONLINE STORE TERMS
By agreeing to these Terms, you represent that:
- You are at least 18 years of age (or the age of majority where you live, if higher).
- You are legally authorized to enter into this agreement.
- You will not use our products or the site for any unlawful or unauthorized purposes.
- You will comply with all applicable federal, state, and local laws and regulations, including those applicable to medical devices and regulated products.
A breach or violation of these Terms may result in immediate termination or suspension of your access to the site and our services.
If you create an account, you are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account, and you agree to notify us promptly of any unauthorized use of your account. You are responsible for keeping your account information – including any information bearing on your eligibility to purchase Restricted Products (as defined below), such as professional licensure status – current, complete, and accurate. We may suspend or terminate accounts, refuse services, or cancel orders where account information is inaccurate or where eligibility cannot be verified.
SECTION 2 – WEBSITE USE, CONTENT, AND INTELLECTUAL PROPERTY
The site is designed to provide general information about Puritan and its products. The site does not provide investment or medical advice and does not provide instructions for the appropriate use of any product except as expressly stated in the applicable product labeling or package insert.
You may view and download materials from this site only for your personal, non-commercial use, provided you retain all copyright and other proprietary notices. Except as expressly permitted in writing by Puritan, or as expressly permitted by the preceding sentence, you may not distribute, reproduce, publicly display, download, modify, reuse, repost, scrape, or otherwise use site content.
All trademarks, product names, logos, and other brand features are the property of Puritan or its licensors. If you breach this Section, your authorization to use this site automatically terminates, and you must destroy any downloaded or printed materials.
SECTION 3 – PRODUCTS, LABELING, AND PRODUCT INFORMATION
Puritan manufactures and supplies products across multiple markets and channels, including sales through distributors and direct sales where enabled. Product labeling and package inserts control the intended use, instructions, precautions, storage conditions, and other required product information.
Where available, Puritan may provide copies of labeling resources (including package inserts/IFUs and Safety Data Sheets (SDS)) on relevant product pages and/or in a product labeling resources section for convenience only. In the event of any inconsistency, the product labeling and package insert govern.
This website is intended for customers in the United States, and products are offered for sale through this website only in the United States. Puritan's products are distributed and used in other jurisdictions where required product registrations, marketing authorizations, and regulatory documentation have been obtained.
Nothing on this website constitutes a representation that any product is approved, registered, or available for sale or use in any jurisdiction other than the United States, and users outside the United States should consult their local Puritan representative or distributor regarding product availability and applicable regulatory requirements.
SECTION 4 – SALES CHANNELS (DIRECT SALES + DISTRIBUTORS/OEM)
Puritan sells products through multiple channels, including sales through distributors, resellers, and OEM/kit manufacturer relationships, as well as direct sales where enabled.
For distributors in the United States, a current resale certificate may be required. For OEM/kit manufacturers, an exemption certificate may be required as part of onboarding. For questions about purchasing channels, required documentation, or becoming a distributor, contact Customer Service.
Certain requests (including certificates of analysis, sterility, or conformity) and access to product-related documentation may be handled differently depending on whether the requester is an OEM, distributor, or consumer/end user, and may be subject to additional verification or account requirements.
If you have entered into a separate written agreement with Puritan governing your purchases (including distribution, OEM, or supply agreement), the terms of that agreement control over these Terms to the extent of any conflict between the terms with respect to purchases made pursuant to the separate written agreement.
Except as expressly authorized in writing by Puritan, you may not resell, export, re-export, or otherwise transfer products purchased directly from Puritan, or purchase products for the purpose of diversion outside authorized distribution channels. Puritan may refuse, cancel, or limit orders and may suspend or terminate accounts where it reasonably suspects diversion.
SECTION 5 – PRESCRIPTION / RESTRICTED PRODUCTS (Rx) AND FDA COMPLIANCE
Certain products offered through the site may be regulated medical devices and/or designated as prescription or otherwise restricted by law (“Restricted Products”). Restricted Products will be identified through product labeling, product descriptions, and/or accompanying documentation.
Rx restriction statement: Prescription devices may display “Rx only” (or the equivalent) and/or the statement “Caution: Federal law restricts this device to sale by or on the order of a ___,” as described in 21 CFR 801.109. The blank space will say “physician”, “dentist”, or “veterinarian”, or provide a descriptive designation of another practitioner licensed by the law of the State in which the practitioner practices to use or order use of the device at issue, depending on the requirements for labeling the device.
Purchase pathway controls: To support controlled distribution for Rx devices, Puritan restricts the purchase pathway for Restricted Products. Restricted products may require that customers sign in and have an authorized account status before adding restricted products to cart or completing checkout. Authorization may be based on account-level information collected during account creation (for example, business/organization name, business address, and customer classification).
IFUs and professional documentation: IFUs and product documentation may be publicly visible on the site unless otherwise stated for a specific product. Purchase functionality for Restricted Products remains restricted to authorized accounts.
By attempting to purchase any Restricted Product, you represent and warrant that:
- You are a licensed healthcare professional or are otherwise authorized to purchase on behalf of an eligible facility/entity or practitioner, as applicable.
- All information you provide regarding authorization, affiliation, and intended use is true, accurate, and complete.
- Restricted Products will be used only as permitted by applicable law and FDA regulations.
Puritan reserves the right, at its sole discretion, to verify eligibility, refuse, cancel, or limit any order for Restricted Products that does not meet legal, regulatory, or policy requirements. Any attempted purchase of Restricted Products by an unauthorized individual constitutes a material breach of these Terms. Puritan ships Restricted Products only to jurisdictions in which it holds any required state licenses or registrations to sell or distribute such products.
SECTION 6 – ORDER ACCEPTANCE, BILLING, AND ACCOUNT INFORMATION
All orders placed through the site constitute an offer to purchase and are subject to acceptance by Puritan. We reserve the right to refuse or cancel orders, limit quantities, or correct pricing/availability errors. If we refuse or cancel an order after payment has been received, we will promptly refund the amount paid for the refused or canceled portion of the order.
You agree to provide current, complete, and accurate billing and account information for all purchases and to promptly update your information so that we can complete transactions and contact you as needed.
SECTION 7 – PRICING, PAYMENT, TAXES, AND EXEMPTION DOCUMENTATION
All prices are subject to change without notice. All prices are stated in U.S. dollars. Prices do not include taxes, shipping, or handling unless expressly stated. Payment must be received prior to order acceptance unless otherwise stated by Puritan in writing. By submitting payment information, you represent that you are authorized to use the designated payment method and authorize us and our payment processor to charge the full order amount, including applicable taxes and shipping. We may suspend or cancel orders pending resolution of any payment dispute or chargeback.
Taxes: Applicable sales tax will be calculated and applied at checkout based on the shipping destination and applicable law.
Tax-exempt or resale status: At this time, tax-exempt or resale purchases may not be supported through the online store. Customers seeking to make tax-exempt or resale purchases may be required to purchase through an authorized distributor or by contacting Puritan directly. Where applicable, customers are responsible for providing appropriate documentation (such as a valid resale or exemption certificate) and for ensuring their use complies with applicable tax laws.
SECTION 8 – SHIPPING, DELIVERY, AND RISK OF LOSS
Shipping and delivery dates are estimates only and cannot be guaranteed. Title and risk of loss pass to you upon delivery. Puritan is not liable for delays caused by carriers or circumstances beyond our reasonable control. For consumer orders, if we are unable to ship within the time stated at the time of order (or within thirty (30) days if no time is stated), we will notify you of the delay and offer you the option to consent to the delay or to cancel the order and receive a prompt refund, consistent with the FTC Mail, Internet, or Telephone Order Rule (16 C.F.R. Part 435).

SECTION 9 – RETURNS, REPLACEMENTS, AND FINAL SALE
Final sale: Unless otherwise stated in writing by Puritan, purchases made directly through the Puritan website are considered final sale.
Puritan accepts return requests only for products that are damaged or defective, or when the incorrect item was shipped, subject to these conditions:
- Return request must be made within 30 days of delivery (for claims of shipping damage or shipment of an incorrect item; this period does not limit any non-waivable rights or remedies you may have under applicable law with respective defective products).
- Valid proof of purchase is required.
- A Return Merchandise Authorization (RGA) must be obtained prior to return.
- Puritan will replace eligible products but does not issue refunds. To the maximum extent permitted by applicable law, replacement is your sole and exclusive remedy.
Consumer purchases: If you purchase goods primarily for personal, family, or household purposes, nothing in this Section 9 excludes, modifies, or limits any implied warranty, or any remedy for breach of an implied warranty, that applicable law prohibits us from excluding, modifying, or limiting, including under 11 M.R.S. § 2-316(5). The exclusive-remedy, no-refund, and time-limit provisions of this Section apply to such consumer purchases only to the extent permitted by applicable law, and nothing in these Terms limits any non-waivable rights you may have under applicable consumer protection law.

SECTION 10 – WARRANTIES AND DISCLAIMERS
ALL PRODUCTS AND SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT ANY WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NONINFRINGEMENT, TO THE MAXIMUM EXTENT PERMITTED BY LAW, AND EXCEPT FOR THE EXPRESS REPLACEMENT REMEDY DESCRIBED IN SECTION 9.
Some jurisdictions do not allow limitations on implied warranties, so these disclaimers may not apply to you. Without limiting the foregoing: if you purchase goods primarily for personal, family, or household purposes, the disclaimers in this Section do not apply to the extent prohibited by applicable law, including Maine law (11 M.R.S. § 2-316(5)), which does not permit the exclusion or modification of implied warranties, or of remedies for their breach, in sales of consumer goods and services. Nothing in these Terms excludes or limits any warranty or remedy that may not be excluded or limited under applicable law.
SECTION 11 – LIMITATION OF LIABILITY
IN NO EVENT SHALL PURITAN BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS OR REVENUE. PURITAN’S TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU FOR THE PRODUCT OR SERVICE GIVING RISE TO THE CLAIM, TO THE MAXIMUM EXTENT PERMITTED BY LAW. NOTHING IN THIS SECTION EXCLUDES OR LIMITS LIABILITY FOR DEATH OR PERSONAL INJURY CAUSED BY A PRODUCT, FOR GROSS NEGLIGENCE, WILLFUL MISCONDUCT, OR FRAUD, OR FOR ANY OTHER LIABILITY THAT MAY NOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATIONS OR EXCLUSIONS MAY NOT APPLY TO YOU.
SECTION 12 – REGULATORY AND COMPLIANCE OBLIGATIONS
If any products are medical devices, and you are a device user facility, importer, or distributor as defined under applicable FDA regulations, you acknowledge your reporting and recordkeeping obligations under the Federal Food, Drug, and Cosmetic Act and FDA regulations, including Medical Device Reporting (21 CFR Part 803), reports of corrections and removals (21 CFR Part 806), and medical device tracking (21 CFR Part 821), as applicable.
You agree to notify Puritan promptly, and in any event within the time frames required under 21 CFR Part 803, of any reportable event involving a product supplied by Puritan, and to provide immediate notice of any event that requires remedial action to prevent an unreasonable risk of substantial harm to the public health.
You shall maintain adequate records and tracking of products, as applicable, to enable Puritan to meet regulatory obligations related to medical device tracking and reporting.
Website product pages may constitute “labeling” for regulatory purposes. Accordingly, all product descriptions, intended use statements, and claims must remain consistent with applicable regulatory status and supporting documentation.
Puritan reserves the right to modify, remove, or restrict access to product information on the website to maintain compliance with applicable regulatory requirements.
SECTION 13 – PRIVACY
Your submission of personal information through the site is governed by our Privacy Policy. Puritan does not collect, process, or store Protected Health Information (PHI) as defined by HIPAA through the site.

SECTION 14 – THIRD-PARTY LINKS
Certain content, products and services available via our Service may include materials from third parties. Third-party links may direct you to third-party websites that are not affiliated with us. We are not responsible for examining or evaluating third-party content or accuracy and do not warrant and will not have any liability or responsibility for third-party materials or websites.
SECTION 15 – INDEMNIFICATION
You agree to indemnify, defend and hold harmless Puritan and our affiliates, officers, directors, employees, agents, contractors, licensors, service providers, subcontractors, suppliers, and interns, harmless from any claim or demand, including reasonable attorneys’ fees, made by any third party due to or arising out of your breach of these Terms or your violation of any law or the rights of a third party.
SECTION 16 – FORCE MAJEURE
Puritan shall not be liable for delays or failures caused by events beyond its reasonable control, including natural disasters, labor disputes, governmental actions, pandemics, supply chain disruptions, or utility failures.
SECTION 17 – GOVERNING LAW; VENUE
These Terms shall be governed by and construed in accordance with the laws of the State of Maine, without regard to conflict-of-law principles. You agree to submit to the exclusive jurisdiction of state and federal courts located in Maine for disputes not subject to arbitration or where arbitration is prohibited by law.
SECTION 18 – DISPUTE RESOLUTION AND ARBITRATION
YOU AND PURITAN AGREE TO RESOLVE DISPUTES THROUGH BINDING ARBITRATION RATHER THAN IN COURT OR BY JURY TRIAL, EXCEPT WHERE PROHIBITED BY LAW. Arbitration shall be administered by the American Arbitration Association (“AAA”) under its Commercial Arbitration Rules or, for disputes involving a consumer, its Consumer Arbitration Rules (with fees allocated as provided in those rules)and will be conducted on an individual basis only. Class actions and representative actions are waived to the extent permitted by law.
Small claims; opt-out: Either party may instead bring an individual claim in small claims court. You may opt out of this arbitration agreement by sending written notice to the address in Section 20 within thirty (30) days after first accepting these Terms; opting out does not affect any other provision of these Terms.
Severability of waiver; mass filings: If the class action waiver is found unenforceable as to a particular claim, that claim (and only that claim) shall proceed in court rather than arbitration. If twenty-five (25) or more similar arbitration demands are filed by or with the assistance of the same or coordinated counsel, the parties agree that the demands will be administered in staged batches in accordance with the AAA’s mass-arbitration procedures then in effect.
SECTION 19 – SEVERABILITY; WAIVER; ASSIGNMENT; CHANGES TO TERMS; ELECTRONIC COMMUNICATIONS; EXPORT CONTROLS; ENTIRE AGREEMENT
If any provision of these Terms is found unenforceable, the remaining provisions shall remain in full force and effect.
Waiver: Our failure to enforce any provision of these Terms is not a waiver of that provision or of our right to enforce it later.
Assignment: You may not assign or transfer these Terms or any rights under them without our prior written consent. We may assign these Terms without restriction, including in connection with a merger, acquisition, or sale of assets.
Changes to Terms: We may update these Terms from time to time. The “Last Updated” date above reflects the most recent version. We will provide notice of material changes by posting the updated Terms on the site and, for material changes to Section 18 or where otherwise required by law, by additional reasonable notice. Updated Terms apply to use of the site and to orders placed after their effective date and do not apply retroactively to orders already accepted.
Electronic communications: You consent to receive communications from us electronically, and you agree that all agreements, notices, disclosures, and other communications that we provide to you electronically satisfy any legal requirement that such communications be in writing.
Export controls: You agree to comply with all applicable export control and economic sanctions laws and regulations, including the U.S. Export Administration Regulations, and not to export, re-export, or transfer products to any prohibited destination, entity, or person.
These Terms, together with our posted policies (including Privacy and Return/Refund policies), constitute the entire agreement between you and Puritan regarding the site and purchases made directly through the site, superseding prior communications.
